Terms and Conditions

By placing wholesale orders with Nishura you agree to adhere to and respect our terms and conditions as listed below. Please read them carefully and feel free to contact our Nishura Sales team(s) if you have any questions or require any further clarification.

1. Minimum Order/Carriage

1.1 Our minimum order amount is £300 net.

1.2 All products must be purchased in the pack sizes stated on our price list.

1.3 Please be aware that Nishura is not liable for any duties, taxes or customs charges which may be incurred for importing goods into your specific country. Please contact your local Customs office for any information or support regarding these charges.

2. Payment

The vast majority of our customers pay on a pro forma basis and we very rarely offer accounts. Pro forma payment means full pre-payment of the order before we begin to allocate stock to it and despatch it from our warehouse.

If we deem it appropriate to offer 30 day credit terms (due to size and frequency of orders) we will require all relevant documentation and trade references to be completed.

2.1 All credit customers are expected to adhere to our credit agreement and ensure payment has been received 30 DAYS AFTER DATE OF INVOICE. In the event of failure to pay on the due date Nishura reserves the right to charge interest at the rate of 8% per annum above the Royal Bank of Scotland base rate, commencing from the date invoice payment is due, to be invoiced separately.

2.2 If a credit customer remains inactive for a period of 6 months or more, the account may be closed and the customer may have to reapply.

2.3 We reserve the right to withdraw credit facilities for customers who do not settle their account in accordance with the terms of trade.
We aim to send out all orders within 2 – 3 weeks wherever possible (unless the order includes new products which are still in production for the first time). We try to accommodate the specific needs of our customers wherever possible, but for the most part orders are allocated and despatched on a first come, first served basis.

2.4 Goods are allocated to pro forma orders once full payment has been made.

3. Exclusivity

Nishura does not offer exclusivity. Nishura represents brands which comprise of a wide range of products, so there may be cases where different product ranges may be stocked in stores relatively close by. We do, however, aim to support our active stockists by avoiding conflicts of interest wherever possible, and do try to run checks to ensure there is a reasonable distance between new stockists and existing active stockists.

3.1 If a stockist does not place an order for a period of 6 months or more, they will not be considered active and their interests may not be taken into account if a prospective customer makes an approach.

3.2 If a stockist places a pro forma order but does not pay for it, this does not count as activity until the order has been paid.

4. Prices

4.1 Nishura reserves the right to alter these prices at any time and without notice unless prior invoiced.

4.2 All goods come with an RRP (Recommended Retail Price) and we ask that, for the sake of all our customers and the brand, goods are not priced under this amount unless it clearly states: SALE.

We ask that, on the rare occasions that price changes take place, both the unit price AND RRP are changed simultaneously, e.g. if there is a price increase due to take effect 1st May, RRPs for existing stock are also increased from that date, regardless of when purchased.

5. Sales Outlets/Stockist locations

Nishura asks that all customers ensure we have ALL SHOP ADDRESSES/SALES OUTLETS ON RECORD and that Nishura are informed before moving stock from one store to another or beginning to stock the brand in any new location/shop. Without this information conflicts of interest may arise.

5.1 All stockists should inform Nishura of ALL locations where they intend to stock the brand(s) BEFORE they begin to do so.

5.2 We reserve the right to choose who to continue to supply if a conflict of interests arises.

5.3 By entering into this wholesale agreement with Nishura, you have the permission to retail the products to retail customers. You are NOT given permission to distribute or sell these goods on to any other retailers.

6. Websites & Online Sales

6.1 If you wish to sell the brand(s) on your store website, you must make us aware of the site where the brand will be sold, even if you are already an existing ‘offline’ stockist.
6.2 All goods come with an RRP and we ask that, for the sake of all our customers and the brands, goods are not priced under this amount unless it clearly states: SALE.

The issue of RRPs is particularly relevant for online stores, as all are as accessible as each other, therefore we are all ‘neighbouring’ stores.
6.3 The brand(s) is not to be sold on online auction sites (such as eBay).
6.4 If customers fail to respect these preferences when asked to do so, Nishura reserves the right to cease to supply. This is for the sake of all our customers and the integrity of the brands.

7. Delivery Discrepancies/Damaged Goods/Returns

7.1 Any problems/errors/damaged goods should be reported either by email or by telephone within 3 days of receipt of goods and goods should always be retained for inspection.

In the unlikely event that any goods arrive damaged, please email photographs with details about the damaged products to a member of our Sales team, and they will be happy to assist you either with a credit note or replacement goods, depending on the circumstances/carriage costs, etc.
7.2 It is the customer’s responsibility to ensure they have received and checked their pro forma invoice/order confirmation before payment/despatch.

If you need to return goods to us due to an error in a delivery (where the goods do not match the delivery note), damage or a fault, we will arrange and pay for a collection and pay any carriage costs to send out any replacements.
7.3 No returns will be accepted without prior arrangement.

8. Images

Nishura is happy to provide images of our products for your use, as long as the images requested are for products which are being currently stocked by the customer. Please contact a member of our Sales team and they will be happy to assist you.
